Welcome to RK-Quality Glass! These Wholesale Terms of Service ("Terms") govern your access to and use of the wholesale services, products, and website (if applicable) provided by RK-Quality Glass ("RK-Quality Glass," "we," "us," or "our"). By applying for a wholesale account, placing an order, or otherwise engaging with RK-Quality Glass as a wholesale customer, you ("Wholesale Partner," "Customer," or "you") agree to be bound by these Terms.

Please read these Terms carefully before proceeding with any wholesale transactions.

1. Wholesale Account Application & Eligibility a. To access our wholesale pricing and services, you must apply for a wholesale account. b. Eligibility for a wholesale account requires that you are a legitimate business with a valid Resale Certificate (or equivalent business license/tax ID) in your jurisdiction. c. RK-Quality Glass reserves the right to approve or deny any wholesale account application at its sole discretion. We may request additional documentation to verify your business status. d. You agree to provide accurate, current, and complete information during the application process and to update such information promptly as needed.

2. Orders & Pricing a. Shipping Costs: Shipping costs are the responsibility of the Wholesale Partner and will be added to the invoice unless otherwise agreed upon. c. Carrier: RK-Quality Glass will select the shipping carrier unless the Wholesale Partner provides specific instructions and accounts for their preferred carrier. d. Processing Time: Orders are typically processed and shipped within [X-Y] business days after payment or credit approval. This timeframe may vary during peak seasons. e. Inspection Upon Delivery: Wholesale Partner must inspect all shipments immediately upon receipt for damage, shortages, or discrepancies. Any issues must be reported to RK-Quality Glass within 48 hours of delivery as per our Refund & Return Policy. Failure to do so may result in denial of claims. f. Shipping Delays: RK-Quality Glass is not responsible for shipping delays caused by carriers, weather, or other unforeseen circumstances.

5. Product Representation & Quality a. RK-Quality Glass strives to ensure product accuracy in descriptions and images. However, due to the nature of glass manufacturing, slight variations in size, color, clarity, or finish may occur. These variations are not considered defects. b. You agree to adhere to the procedures and timelines outlined in the Wholesale Refund & Return Policy for all return or claim requests.

7. Intellectual Property a. All content on the RK-Quality Glass website, including text, graphics, logos, images, product designs, and trademarks, are the intellectual property of RK-Quality Glass or its licensors and are protected by applicable intellectual property laws. b. Wholesale Partners are granted a limited, non-exclusive, non-transferable license to use RK-Quality Glass product images and descriptions solely for the purpose of marketing and reselling RK-Quality Glass products. This license is revocable at any time. c. You may not use RK-Quality Glass's trademarks, logos, or proprietary information without our express written consent.

8. Limitation of Liability a. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RK-QUALITY GLASS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. b. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF RK-QUALITY GLASS EXCEED THE TOTAL AMOUNT PAID BY YOU TO RK-QUALITY GLASS FOR THE SPECIFIC PRODUCTS GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

9. Indemnification You agree to indemnify, defend, and hold harmless RK-Quality Glass, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of our wholesale services and products; (b) your breach of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property or privacy right; or (d) any dispute or issue between you and any third party.

10. Governing Law & Dispute Resolution a. These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. b. Any dispute arising out of or relating to these Terms or your wholesale relationship with RK-Quality Glass shall be resolved exclusively in the state or federal courts located in [Your County, State, e.g., Los Angeles County, California]. c.
